End User License Agreement

This End-User License Agreement ("EULA") is a legal agreement between you ("you", "your") and Edge Shore Technologies LLC ("Edge Shore", "we", "us", or "our") for the use of the Beeto.biz software products and services, including the web application, associated media, APIs, integrations, documentation, and any updates thereto (collectively, "Our Software"). By accessing or using Our Software, you agree to be bound by this EULA. If you do not agree to this EULA, our Terms & Conditions, and our Privacy Policy, you are not permitted to use Our Software.

Our Software is provided as a hosted service through the Beeto.biz websites and APIs. We may collect data from you and use it for commercial purposes in accordance with our Terms & Conditions and Privacy Policy, which are incorporated herein by reference. You are not permitted to download, copy, modify, alter, charge for, distribute, sell, or export Our Software, whether as a stand-alone product or service or as part of another product, service, or collection.

1. Grant of License

Subject to your continued compliance with this EULA, Edge Shore grants you a limited, personal, non-exclusive, non-transferable, revocable license to access and use Our Software solely for your internal business purposes and in accordance with our Terms & Conditions and Privacy Policy. In exchange for this license, you agree to the terms and conditions set forth herein.

2. Your Rights; Limitations

You may not reverse engineer, decompile, or disassemble Our Software, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation. Our Software is licensed as a single service; you may not separate its elements for any purpose. You may not (a) rent, lease, sublicense, resell, or otherwise commercially exploit Our Software; (b) scrape, crawl, or use automated means to extract data other than through officially documented APIs and within published rate limits; (c) circumvent authentication, authorization, security, workspace isolation, or billing controls; or (d) use Our Software to build a competing product or service. We may immediately terminate your rights under this EULA if you fail to comply with its terms.

3. Your Representations

You hereby affirm and represent that: (a) other than the restrictions set forth in our Privacy Policy and Data Processing Agreement, there are no restrictions on any data you provide to us, including data you submit or upload through Our Software (collectively, "Your Data"); (b) you have the right to submit and upload Your Data through Our Software; (c) Your Data and your submission thereof does not and will not infringe or violate the rights of any third party, including intellectual property, privacy, publicity, or contractual rights; and (d) you will comply with all applicable laws, regulations, and ordinances in your use of Our Software, including export-control, anti-spam, data-protection, and financial-services laws where applicable.

4. Our Rights

All rights, title, and interest in and to Our Software (including, without limitation, all source code, models, prompts, scoring logic, images, graphics, libraries, aggregate analytics, and derived embeddings incorporated into or produced by Our Software), the accompanying materials, and any copies thereof are and shall remain the exclusive property of Edge Shore and its licensors. Our Software is protected by copyright, patent, trade-secret, and trademark laws and international treaty provisions. No rights are granted to you other than as expressly set forth in this EULA.

5. AI-Generated Output

Our Software uses machine-learning and large-language-model providers to generate summaries, scores, opportunities, and reports. Such output may be inaccurate, incomplete, or out of date, and must not be treated as legal, financial, investment, medical, or professional advice. You are solely responsible for reviewing and validating AI-generated output before relying on or acting upon it. You may not use Our Software to make automated decisions that produce legal or similarly significant effects on individuals without appropriate human review.

6. No Warranties

We expressly disclaim any warranty for Our Software. Our Software is provided "as is" and "as available" without warranty of any kind, either express or implied, including, without limitation, the implied warranties of merchantability, fitness for a particular purpose, title, accuracy of data, and non-infringement. The entire risk arising out of the use or performance of Our Software remains with you.

7. No Liability for Damages

In no event shall Edge Shore be liable for any special, consequential, incidental, exemplary, or indirect damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, loss of data, or any other pecuniary loss) arising out of the use of or inability to use Our Software, even if Edge Shore has been advised of the possibility of such damages. To the maximum extent permitted by law, Edge Shore's aggregate liability arising out of or related to this EULA shall not exceed the fees paid by you for Our Software in the twelve (12) months preceding the event giving rise to the claim.

8. Indemnity

You shall indemnify, defend, and hold harmless Edge Shore and its officers, directors, employees, and agents from and against any liability, loss, damages (including punitive damages), claim, settlement payment, cost, expense, interest award, judgment, diminution in value, fine, fee, court filing fee, court cost, arbitration fee or cost, witness fee, attorneys' fees, and other professionals' fees arising out of or relating to (a) your use of Our Software, (b) Your Data, and/or (c) your breach of this EULA or the Terms & Conditions.

9. Term & Termination

This EULA is effective until terminated. It will terminate automatically without notice if you fail to comply with any provision of this EULA. Upon termination, you must cease all use of Our Software. Sections 4 through 11 shall survive termination.

10. Governing Law

This EULA is governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles. The state and federal courts located in Delaware shall have exclusive jurisdiction over any disputes arising out of or relating to this EULA.

11. Changes

We may update this EULA from time to time. Material changes will be notified in-product or by email at least 15 days before they take effect. Your continued use of Our Software after the effective date constitutes acceptance of the revised EULA.
